Acceptance of Agreement
You agree to the terms and conditions outlined in this Terms of Use with respect to this website GBS. Except as otherwise set forth herein, this Agreement constitutes the entire and only Agreement between us and you and supersedes all previous or contemporaneous Agreements, warranties or representations with respect to this site, the content, the service or products provided by or through our site. This agreement may be amended at any time by us without due notice to you.


Use of Links
Your use of the GBS website is at your own risk. GBS expressly disclaims all warranties of any kind whether expressed or implied relating to any services or materials contained on the GBS website to the fullest extent permissible pursuant to applicable law including but not limited to, the implied warranties of merchantability, fitness for a particular business and non-infringement.

You assume the entire cost of all necessary servicing, repair, or correction. Right to Change

Nontransferable
Your right to use the Site is not transferable. Any user name, password, or right given to you to obtain information or documents is not transferable.

Indemnification
You agree to indemnify, defend and hold us and our partners, lawyers, staff and affiliates (collectively, "Affiliated Parties") harmless from any liability, loss, claim and expense, including reasonable legal fees, related to your violation of this Agreement or use of the Site.

Limitation Of Liability
You acknowledge and agree that the limitations set forth below are an integral part of this agreement and that GBS website would not be provided to you absent such limitations.

You expressly understand and agree that under no circumstances, including but not limited to negligence, shall SecureDaycare Inc. be liable for any direct, indirect, incidental, special, punitive, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if GBS has been advised of the possibility of such damages), resulting from:

(I) The use or the inability to use the service or materials;
(II) The accuracy, completeness, timeliness or usefulness of any materials or information from our website,
(III) The quality of usage or the results obtained from GBS website
(IV) The cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service;
(V) Unauthorized access to or alteration of your transmission or data;
(VI) Statements or conduct of any third party on the service; or
(VII) Any other matter relating to the service.

Any damages relating to services provided by GBS or its Content Providers (as defined in the Terms and Condition of Use Agreement) shall be limited to an amount, not to exceed, the fees paid to GBS for use of GBS website. Our maximum liability to you under all circumstances will be equal to one (1) month subscription fees to the GBS website.

Miscellaneous
This Agreement shall be treated as though it were executed and performed in Toronto, Ontario, Canada and shall be governed by and construed in accordance with the laws of the Province of Ontario (without regard to conflict of law principles). Any cause of action by you with respect to the Site (and/or any information, products or services related thereto) must be instituted within one (1) year after the cause of action arose or be forever waived and barred. The language in this Agreement shall be interpreted in accordance with its fair meaning and not strictly for or against either party. All legal proceedings arising out of or in connection with this Agreement shall be brought solely in Toronto, Ontario Canada. You expressly submit to the exclusive jurisdiction of said courts and consent to extraterritorial service of process. Should any part of this Agreement be held invalid or unenforceable, that portion shall be construed consistent with applicable law and the remaining portions shall remain in full force and effect. To the extent that anything in or associated with the Site is in conflict or inconsistent with this Agreement, this Agreement shall take precedence. Our failure to enforce any provision of this Agreement shall not be deemed a waiver of such provision nor of the right to enforce such provision.
